A project officially commences upon written execution of a proposal, agreement, or receipt of an advance deposit. Any scope modifications requested during project execution shall require an executed change order and adjusted fee schedule.

2.2 Intellectual Property Rights & Ownership Framework

Intellectual property ownership following project completion is strictly structured as follows:

  • Client Deliverables: Upon full payment of all contractual fees, the final visual designs, custom web content, approved branding assets, and tailored source code developed specifically for the Client shall belong to the Client.
  • Proprietary Agency IP: Swastixa Digital retains absolute and exclusive ownership over pre-existing code, framework architectures, UI component libraries, automation scripts, reusable templates, design systems, internal methodologies, and proprietary software tools.
  • Client Material Responsibility: The Client remains solely responsible for ensuring that all materials provided to Swastixa Digital (logos, images, video footage, trademarks, documents) possess valid legal title and do not infringe third-party copyrights or rights.

2.3 Portfolio & Marketing Rights

Unless explicitly restricted via a signed Non-Disclosure Agreement (NDA) prior to project commencement, Swastixa Digital Services LLP reserves the right to showcase completed project deliverables, visual concepts, website screenshots, case studies, and brand designs within our portfolio, marketing decks, website, social media, and industry award submissions.

2.4 Fees, Payments & Refund Terms

All financial engagements are subject to the following standard commercial terms:

  • Payment Schedules: Payments are due as defined in the commercial proposal. Milestone payments or recurring retainers must be settled within the specified invoice credit period.
  • Late Payment Effects: Invoices overdue by more than 7 days may result in immediate project suspension, withholding of website deployment files, or temporary ad account pausing.
  • Refund Policy: Advance payments, consultation fees, completed work milestones, third-party expenses (hosting, domains, licenses), and media ad spends utilized on advertising platforms are strictly non-refundable.

3. LEGAL DISCLAIMERS & LIMITATION OF LIABILITY

3.1 Professional Service Performance Disclaimers

  • SEO & Organic Search Disclaimer: Search engine algorithms are operated independently by third parties (e.g., Google, Bing). Swastixa Digital applies industry best practices, but explicitly makes no guarantee regarding specific keyword rankings, first-page placements, or organic traffic volumes.
  • Performance & Paid Ads Disclaimer: Ad performance depends on external factors including market competition, offer viability, consumer demand, and platform algorithm changes (Meta, Google, LinkedIn). Swastixa Digital does not guarantee explicit sales, lead volumes, conversion rates, or Return on Ad Spend (ROAS).
  • Social Media & Influencer Marketing: Reach and engagement depend on independent third-party platform algorithms and creator behavior. Swastixa Digital is not responsible for platform downtime, policy changes, or creator actions beyond direct contractual control.

3.2 Client Content Indemnification

The Client agrees to defend, indemnify, and hold harmless Swastixa Digital Services LLP, its partners, officers, employees, and contractors against any third-party claims, legal liabilities, damages, or expenses (including reasonable legal fees) arising from copyright infringement, trademark disputes, or unlawful content submitted by the Client.

3.3 Limitation of Liability

To the maximum extent permitted under applicable law, Swastixa Digital Services LLP shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business disruption, data loss, or reputational damage. The maximum aggregate financial liability of Swastixa Digital under any claim shall not exceed the total fees actually received by the Company for the specific project giving rise to the claim.

3.4 Governing Law & Jurisdiction

This Agreement, its interpretation, and any legal disputes arising hereunder shall be governed exclusively by the laws of the Republic of India. The parties irrevocably submit to the exclusive jurisdiction of the competent courts located in New Delhi, India.
